Welcome to PhoneOnEMI. These Terms and Conditions ("Terms") govern the use of our software key, provided to shop owners selling smartphones on finance. By using our software key, you agree to be bound by these Terms. Please read them carefully.

1. Definitions

"Software Key": A digital tool provided by PhoneOnEMI that can lock a customer's mobile device if their EMI payment is due.

"Shop Owner": An individual or entity selling smartphones on finance who utilizes the PhoneOnEMI software key.

"Customer": An individual who purchases a smartphone on finance from a Shop Owner using the PhoneOnEMI system.

"EMI": Equated Monthly Installment, a fixed payment amount made by the Customer to the Shop Owner over a specified period.

2. Usage of the Software Key

2.1 Grant of License

PhoneOnEMI grants Shop Owners a non-exclusive, non-transferable license to use the Software Key solely for the purpose of managing smartphone sales on finance.

2.2 Functionality

The Software Key is designed to lock a Customer's mobile device if their EMI payment is overdue. This functionality ensures timely payments and mitigates financial risk for Shop Owners.

2.3 Activation and Deactivation

• The Software Key can be activated at the time of sale.
• The Shop Owner is responsible for deactivating the Software Key upon full payment of the EMI by the Customer.

3. Responsibilities

3.1 Shop Owner Responsibilities

• Ensure that Customers are fully informed about the use of the Software Key and its implications.
• Provide accurate information to PhoneOnEMI to enable the proper functioning of the Software Key.
• Comply with all relevant laws and regulations regarding the sale of smartphones on finance.

3.2 Customer Responsibilities

• Make timely EMI payments as per the agreed schedule.
• Contact the Shop Owner for any issues related to the activation or deactivation of the Software Key.

4. Limited Period Offers

4.1 Software Key Price Offer

• Eligibility: The Software Key Price Offer is available to all Shop Owners who register and purchase the PhoneOnEMI Software Key within the promotional period specified by PhoneOnEMI.
• Discount Details: Eligible Shop Owners will receive a discounted price on the initial purchase of the Software Key. The discount rate and duration of the offer will be communicated through official PhoneOnEMI channels & Distributors.
• Conditions:
  • The offer cannot be combined with any other discounts or promotions.
  • The discounted price will be applicable upon full payment by the Shop Owner within the offer period.
  • PhoneOnEMI reserves the right to modify or terminate the offer at any time without prior notice.
  • The offer is non-transferable and cannot be exchanged for cash or any other products or services.

4.2 Software Key Trip Offer

• Eligibility: The Software Key Trip Offer is available to Shop Owners who meet specific sales targets or other criteria set by PhoneOnEMI within the promotional period.
• Offer Details: Eligible Shop Owners will qualify for a trip organized by PhoneOnEMI. The details of the trip, including the destination, duration, and itinerary, will be communicated through official PhoneOnEMI channels.
• Conditions:
  • Shop Owners must meet the specified criteria within the promotional period to qualify for the trip.
  • Shop Owners who make the full payment for the Software Key is qualified for the trip.
  • The offer is subject to availability and may be withdrawn or modified by PhoneOnEMI at any time.
  • The trip offer is non-transferable and cannot be exchanged for cash or any other products or services.
  • Shop Owners are responsible for any additional costs not covered by the offer, such as travel insurance, personal expenses, and any required documentation (e.g., passports, visas).
  • PhoneOnEMI is not liable for any cancellations, delays, or changes to the trip due to unforeseen circumstances.

5. Data Privacy

PhoneOnEMI is committed to protecting the privacy of both Shop Owners and Customers. We will collect, use, and store personal information in accordance with our Privacy Policy.

6. Limitation of Liability

PhoneOnEMI will not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the Software Key. This includes, but is not limited to, any impact on the Customer's device functionality due to the activation of the lock feature.

7. Indemnification

Shop Owners agree to indemnify and hold harmless PhoneOnEMI from any claims, losses, damages, or expenses arising out of the use of the Software Key, including any claims made by Customers.

8. Termination

PhoneOnEMI reserves the right to terminate the license of the Software Key if the Shop Owner violates these Terms. Upon termination, the Shop Owner must cease all use of the Software Key.

9. Amendments

PhoneOnEMI reserves the right to modify these Terms at any time. Any changes will be communicated to Shop Owners, and continued use of the Software Key constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which PhoneOnEMI operates.
